Appointment of Interim Independent Auditors

The Board of Corporate Auditors of Asahi Kasei Corporation
has appointed PricewaterhouseCoopers Aarata as the company’s Interim Independent
Auditors, effective July 1, 2006.
The firm which had served as the company’s Independent Auditors,
ChuoAoyama PricewaterhouseCoopers, was sanctioned by the Financial Services Agency
on May 10, 2006 with a two-month suspension of auditing services pursuant to
the Securities and Exchange Law and the Corporation Law, from July 1,
2006 to August 31, 2006. ChuoAoyama PricewaterhouseCoopers thus lost standing
to serve as the company’s Independent Auditors on July 1, 2006.
The Board of Corporate Auditors met on July 1, 2006 and appointed
PricewaterhouseCoopers Aarata as Interim Independent Auditors in accordance with
the provisions of Paragraphs 4 and 6 of Article 346 of the Corporation Law.
Appointment of Independent Auditors will be referred to the Ordinary
General Meeting of Shareholders scheduled for June 2007.
