Change in number of shares in each share unit and partial amendment of Articles of Incorporation
Asahi Kasei Corp.
The Board of Directors of Asahi Kasei Corp. has today adopted a resolution in accordance with provisions of Article 195 of the Companies Act to change the number of shares in each share unit and partially amend the company’s Articles of Incorporation, as shown below.
1．Change in number of shares in each share unit
1)Reason for the change:
Based on an Action Plan for the Consolidation of Share Trading Units, Japanese stock markets are aiming to unify trading units for common shares on 100 shares per unit. The company has decided to reduce the number of shares in each share unit in order to expand investment opportunities for a broader range of investors and increase the liquidity of the company’s shares.
2)Content of the change:
Change from 1,000 shares in each share unit to 100 shares in each share unit.
3)Scheduled date:
The change shall take effect on October 1, 2017. (Beginning on October 1, 2017, the company’s shares shall be traded in units of 100 shares on the Tokyo Stock Exchange.)
2．Partial amendment of Articles of Incorporation
1)Reason for the amendment:
The amendment is made to reflect the above change in the number of shares in each share unit.
2)Content of the amendment:
The content of the amendment is as follows (changes underlined).
